How does your intent to go open source reconcile with Article XVII, Ownership, in the TOU?

When we open source the code, we will make a generic version of the source code publicly available. Anyone will be able to use this generic code to develop their own site that they can customize for their own needs. At that point, WiserEarth will be just another customized instance of a generic code base. Article XVII of the TOU will still apply to the WiserEarth instance of the code, but the open source code will be available to anyone.

I see a problem in that the TOU would probably take legal precedence and, at least as I read your TOU, any version of the code would be considered proprietary, generic or not, as the TOU refers to underlying technology and software. It would seem that the TOU should be modified ...
From the TOU: You acknowledge that any underlying technology or software used to provide the Service is proprietary to NCI, and you may not modify, reproduce, distribute, create derivative works of, publicly display or in any way exploit the same. |

Yes, I agree, the existing TOU were definitely written for a non-open source system. I wasn't on the project when they were written, but I imagine that they are boiler plate terms for a standard web site. We'll modify them when we open source to avoid any confusion.
